DREI publishes resolution that simplifies and automates the opening, modification and closing of companies under the Inova Simples’s rules in online platform

On March 23, 2020, the National Department of Corporate Registry and Integration (“DREI”) published Resolution No. 55, which establishes special procedures for “Empresa Simples de Inovação” (startups or innovation companies thus declared on the Redesim portal), the so-called “Inova Simples”.

It sets special and simplified rules exclusively for companies that to be incorporated under this kind. Its adoption by existing companies under other regimes is restricted. However, this rule does not preclude a company under the “Inova Simples’ regime to be transformed into one of a different corporate type, such as, for example, a single partnership or sole entrepreneur.

Among the news released by the Resolution No. 55, it is relevant to point out the provision of a summary proceeding on the online platform “Redesim” for incorporating, changing or closing companies under this regime.

Resolution No. 55 also establishes the possibly of direct communication between an “Empresa Simples de Invovação” and the National Institute of Industrial Property (for registration of trademarks and patent purposes), through the access link available on the Redesim, after registration with the Federal Revenue (CNPJ).
